1. Scope of Services

DIGITAL OASIS SRL provides digital transformation consulting, including but not limited to: SaaS auditing, tech stack benchmarking, employee digital literacy assessments, and software implementation roadmaps. The specific scope of work for each project is defined in the "Kick-off" agreement or signed Proposal.


2. Client Responsibilities & Data Accuracy

Our recommendations are strictly based on the information provided by the Client via the Intake Spreadsheet and Employee Surveys.

  • The Client is responsible for the accuracy and completeness of the data provided (e.g., tool costs, contract dates, and "Shadow IT" disclosure).

  • DIGITAL OASIS SRL is not liable for recommendations made based on incorrect or withheld information.


3. "Digital Literacy" & Survey Participation

The success of the "Digital Oasis" audit depends on a representative participation rate from the Client’s team. As specified in our methodology, if survey completion falls below the agreed-upon percentage, the recommendation meeting may be postponed to ensure data integrity.


4. Professional Disclaimer (Limitation of Liability)

  • No Financial/Legal Advice: Our benchmarking and cost-reduction suggestions are operational in nature. We do not provide formal legal advice on software contracts or financial accounting advice.

  • Implementation Risks: While we provide guidance on implementation and automation, the Client assumes all risks associated with the migration, deletion, or integration of third-party software.

  • No Guarantee of Results: While our goal is to reduce "Digital Friction" and costs, specific outcomes depend on team adoption and the performance of third-party vendors.


5. Intellectual Property

  • The Methodology: The "Digital Oasis" Audit framework, the Digital Literacy scaling system, and the Benchmark Templates provided to the Client remain the intellectual property of [Your Company Name].

  • The Deliverables: Upon full payment, the Client is granted a non-exclusive license to use the final Audit Report and Recommendations for their internal business purposes only.


6. Third-Party Software

DIGITAL OASIS SRL is independent and does not receive commissions from software vendors mentioned in the Benchmark Template. We are not responsible for changes in pricing, features, or service outages of third-party tools recommended during the audit.


7. Termination of Engagement

Either party may terminate the consulting engagement if the other party breaches these terms. In the event of termination, the Client shall pay for all work completed up to the termination date.


8. Governing Law

These Terms & Conditions are governed by the laws of DIGITAL OASIS SRL. Any disputes shall be subject to the exclusive jurisdiction of the courts in Brussels
